Terms of Service

1. Scope

These terms cover project services and commissioned work delivered by Awal Studio. The exact scope, deliverables, fees, and timeline are defined in the approved quotation, proposal, invoice, or written agreement. Requests outside the approved scope may require a revised timeline and additional fees.

2. Font Retail and Licensing

Retail font purchases, font downloads, trial fonts, webfonts, and font licensing are governed by the Awal Studio Font License Agreement (EULA). If these Terms of Service and the EULA conflict for font usage rights, the EULA controls that font usage.

3. Quotations and Acceptance

A quotation or proposal is valid only for the period stated in that document. A project is accepted when the client approves the quotation, pays an invoice, gives written approval, or asks Awal Studio to begin or continue work.

4. Payment

Unless agreed otherwise in writing, project services are billed 50% upfront and 50% upon completion. Work begins after the initial payment is received. Final deliverables are released after full payment has been completed.

• Smaller projects may require full payment upfront.
• Larger projects may be billed in agreed milestones.
• Late payments may pause work and extend delivery timelines.

5. Revisions

Unless the quotation states otherwise, each project includes up to 2 rounds of minor revisions within the approved direction.

• Minor revisions refine the approved direction.
• Major revisions, new deliverables, or new directions may be charged separately.
• Changes requested after final approval may require a new scope of work.

6. Delivery and Timeline

Estimated timelines are stated in the quotation or agreed schedule. Delays caused by late feedback, missing materials, payment delays, or additional requests may affect delivery.

Editable files, source files, production files, and font source files are included only when explicitly stated in the quotation or agreed in writing.

7. Ownership and Portfolio

Ownership of final approved project deliverables transfers to the client after full payment, except for third-party materials, licensed fonts, tools, source files, reusable methods, templates, and pre-existing Awal Studio intellectual property unless agreed otherwise in writing.

Awal Studio may display completed work in its portfolio, website, social media, case studies, or promotional materials unless a written confidentiality agreement says otherwise.

8. Cancellation and Refunds

Because project services are time-based creative work:

• Payments are non-refundable once work has started.
• If a project is cancelled after work begins, the client must pay for all completed work and committed costs up to the cancellation date.
• Retail font refund rules are handled separately under the EULA.

9. Client Responsibilities

The client is responsible for providing accurate content, required materials, timely feedback, approvals, and legal rights to any materials supplied to Awal Studio. The client is also responsible for reviewing deliverables before approval and use.

10. Third-Party Materials

Projects may use third-party assets such as fonts, stock images, icons, software, plugins, or design libraries. These assets remain subject to their own licenses and may require separate fees or restrictions.

The client must ensure any materials they provide are cleared for the intended use and free from third-party claims.

11. Confidentiality

Both parties agree to keep confidential non-public business information, documents, project data, and materials shared during the engagement, unless disclosure is required by law or approved in writing by the other party.

12. Data Protection

Awal Studio handles client personal data in accordance with Indonesia's Personal Data Protection Law (UU PDP No. 27/2022).

• Client data is used to communicate, quote, invoice, deliver services, and maintain records.
• Data is not shared with third parties unless needed to deliver the service, required by law, or approved by the client.
• Clients may request access, correction, or deletion of their personal data where legally applicable.

13. Limitation of Liability

Awal Studio will make reasonable efforts to deliver high-quality work within the agreed scope. To the maximum extent permitted by law, Awal Studio is not liable for indirect losses, lost profits, business interruption, reputational loss, or third-party claims arising from use of the deliverables.

14. Disputes

Disputes will be handled in this order:

1. Good faith discussion within 14 calendar days.
2. Mediation with a mutually agreed mediator if discussion fails.
3. Litigation through the competent court in Indonesia if mediation is unsuccessful.

15. Governing Law

These Terms of Service are governed by the laws of the Republic of Indonesia.
